What are the procedures and steps of foreign capital mergers and acquisitions?

According to the Interim Provisions on foreign investors' acquisition of domestic enterprises, foreign mergers and acquisitions are generally divided into the following steps:

　　一、尽职调查：在这个阶段，律师主要代理境外投资者对境内企业的主体资格、债权债务关系、资产的合法性进行核查。

　　二、参与谈判：由于境外投资者对中国的法律法规、市场状况不熟悉，所以在价格策略上很难做到有的放矢、击中对方弱点。律师参与谈判可以为境外投资者争取价格上的回旋余地。

　　三、并购协议设计：在大的框架通过谈判敲定之后，要通过并购协议来落实一些细节问题，如股权转让如何实施，企业职工如何安置，报批职责分工及付款进度等。

　　四、合资合同及公司章程设计：一般外商投资服务中心会提供相应的范本，但合同和章程是今后合资企业运作的纲领，必须给予高度重视，要充分考虑各方股东的权利、利益和责任，以及公司管理的科学性、运作效率等多方面的因素。
